MSSVISION LICENSE AGREEMENT

(hereinafter referred to as "Artist") , whose address is ________________________________________________

and MSSVISION.com ( Referred to as "MSSV" ) whose address is : Italy, 10028 Trofarello (TO) - Via Roma, 39.

This Agreement , when signed by both parties , will constitute a License Agreement ( "Agreement" ) between MSSV
and the Artist. Everything submitted to MSSV  (i.e. audio tapes, CDs, audiovisual works, photos, Bios, Press
Releases, URL, Info etc. ) will be referred to as "Material".

By signing the Agreement, Artist states that he/she owns the rights on the Material granted to MSSV.

By submitting the Material, the Artist grants to MSSV, its successors, assigns, agents, distributors and licensees the non-exclusive right and license to display, reproduce, exhibit, publicly perform, edit, Webcast, transmit, diffuse throughout the Universe, through electronic means, including via streaming technology, electronically publish/distribute and/or synchronize with text and visual images the Material.

Artist warrants that he/she is 18 years of age or older and that he/she has the right and legal capacity to enter into this Agreement. Artist agrees that MSSV shall not be required to make any payments to the Artist or any third parties, including but not limited to people involved in the creation, production or distribution of the Material. Artist warrants that in event of requests for such payments, he/she will provide on the completion of the payments.

Artist further warrants that the Material or any Registered mark used in the Material, do not infringe any patent, copyright or other intellectual property rights - including trade secrets, rights of publicity, privacy or similar rights of any third parties, and do not violate any other rights on the Material granted to third parties.

Artist agrees to indemnify and hold MSSV, its successors, assigns, agents, distributors, licensers, and licensees from any claim, demand, liability, cost and expense (including reasonable attorney's fees) that arise out of, result from, or is inconsistent with any warranty made by Artist in this Agreement.

The owner of the rights on the Material agrees to submit himself to the jurisdiction of the State and Regional Courts located in Torino, (TO) in any action which may arise out of this agreement, and said Courts shall have exclusive jurisdiction over all disputes pertaining to this Agreement and all matters related thereto.

MSSV will not return the submitted Material and in no event will be liable for incidental damages and/or losses.

Artist agrees that Material can be used:
1. On CD compilations - Yes ___ , No ___ ;
2. For advertising and promotional purposes on the MSSV site and its Affiliates - Yes ___ , No ___ ;
3. In combination with other Material or works - i.e. during News editions, talk shows etc. - Yes ___ , No ___ ;

Artist is member of ____________________________________ (performing rights organization - leave blank if not).

In case Artist doesn't own all the rights on the Material , this Agreement shall be signed by the parties which own such rights.

This Agreement cannot be modified unless in writing and signed by authorized signatories for both parties.
This Agreement is valid for twelve (12) consecutive months beginning the date on which Material is received, and continuing thereafter on a month-to-month basis until terminated in writing by either party. MSSV and Artist have the right to terminate this Agreement at any time, and agree that in such event no further activities, including but not limited to services, transactions, payments, shall take place directly or indirectly between the parties.
This Agreement supersedes and replaces any prior Agreement between the parties.
